Terms of Service

1. Acceptance of Terms

By installing or using any application provided by Franklin Technology Services LLC DBA Semantic Devs (the “Service”), you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Service Description & AI Disclaimer

Semantic Devs provides automation tools powered by Artificial Intelligence (AI). By using the Service, you acknowledge that:

• AI is Probabilistic: AI models generate content based on patterns, not facts. While we strive for high accuracy, the Service may occasionally produce incorrect, irrelevant, or nonsensical text.
• Human Review Required: You are solely responsible for reviewing all AI-generated content (Alt Tags, Descriptions, etc.) for accuracy and compliance before publishing it to your live storefront.
• No Liability: Semantic Devs is not liable for any errors, omissions, or offensive content generated by the AI, nor for any SEO ranking fluctuations that may occur after using the tool.

3. Billing & Credits

• Subscription Plans: Billed on a recurring 30-day cycle.
• Credits: One (1) Credit is consumed for every successful optimization.
• Refunds: We do not offer refunds for used credits. Subscription refunds are handled at our sole discretion or via Shopify’s dispute resolution process.
• Rate Limits: We reserve the right to throttle API access if we detect abusive traffic patterns.

4. Intellectual Property

You retain full ownership of all content (images, text) on your store. You grant Semantic Devs a limited, non-exclusive license to access and process this content solely for the purpose of providing the Service.

The “Semantic Devs” name, logo, and underlying code are the intellectual property of Semantic Devs.

5. Limitation of Liability

In no event shall Semantic Devs, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of New Jersey, United States, without regard to its conflict of law provisions.
